All orders are accepted under the following Terms and Conditions of Sale, which govern all contracts, quotations, sales, supplies, and deliveries of goods, materials, services, and other products (hereinafter called “Products”) provided by National Paint Services Limited, trading as Paint & Papers (hereinafter called “the Company”) or its representatives to any individual, business, company, or any other entity (hereinafter called “the Buyer”). These Terms and Conditions take precedence over any other terms, warranties, or conditions unless specifically agreed upon in writing by an authorized representative of the Company.

When the Buyer places an order with the Company for any Product, it signifies full acceptance that, should the Company accept the order, the sale, supply, or delivery of the Products will be governed exclusively by these Terms and Conditions. No modifications or verbal agreements shall alter these Terms and Conditions unless explicitly agreed upon in writing and signed by a Director of the Company.

1. Prices

 

Unless explicitly stated otherwise, the Company reserves the right to amend prices and payment schedules at any time. Prices do not include costs for freight, carriage, packaging, or insurance unless specifically indicated on the invoice. These additional costs will be charged separately to the Buyer. Prices displayed on the Company's website are intended for UK customers only and are subject to change without prior notice. Promotional codes are valid only for the specified period and cannot be combined with other offers.

 


 

2. Delivery

 

2.1 The Company will make every reasonable effort to meet the indicated delivery dates. However, the Company shall not be held liable for any delays resulting from unforeseen circumstances or events beyond its reasonable control.

2.2 The Company is not obligated to maintain delivery dates if delays arise due to circumstances beyond its reasonable control, including but not limited to transportation disruptions, supply chain delays, manufacturing issues, or any other unforeseen events.

2.3 The Company reserves the right to deliver orders in instalments. The Buyer is required to inspect all goods upon delivery. If any discrepancies, damages, or shortages are found, the Buyer must follow the steps outlined below, or the delivery will be considered accepted in full contractual satisfaction of the order:

2.3.1 The Buyer must clearly note any discrepancies or damages on the Carrier’s delivery note at the time of receipt.

2.3.2 The Buyer must inform the Company immediately by telephone and confirm the details in writing.

2.3.3 A full written report detailing any discrepancies, product flaws, or shortages must be submitted to the Company within 3 days of delivery. For any damages that are suspected to have occurred during transport, the report must be submitted within 48 hours of receiving the goods.

2.4 In the event of non-delivery, the Buyer must notify the Company within 10 days from the date of the invoice.

2.5 The Buyer remains fully obligated to pay for all goods, even in cases of alleged non-delivery or shortage, if the conditions listed above have not been fully met and properly documented.

Custom-Tinted and Special Order Products:

If the Buyer places orders for products that are custom-tinted or manufactured to specific requirements, the Company reserves the right to deliver quantities that may vary by up to 10% of the stipulated amount. In such cases, the invoice will reflect the adjusted value accordingly.

 


 

3. Force Majeure

 

In the event that the Company is delayed, hindered, or prevented from fulfilling any part of its contractual obligations due to circumstances beyond its reasonable control, including but not limited to war, roadblocks, rail disruptions, strikes (official or unofficial), lockouts, picketing, industrial disputes, riots, civil unrest, epidemics, fires, explosions, accidents, floods, equipment breakdown, or any other unforeseen events of a similar nature, the Company shall not be held liable for any failure or delay in performing its obligations under the contract.

During such events, the Company reserves the right, upon providing notice to the Buyer, to either partially or fully suspend the delivery of goods or the performance of any agreed services for the duration of the disruption. In such cases, the agreed Delivery Date or Dates may be reasonably extended to reflect the period of delay.

 


 

4. Warranty and Product Quality Assurance

 

As a stockist and distributor, the Company does not manufacture the Products, and therefore does not provide any warranties regarding the quality, performance, or suitability of the Products beyond the guarantees provided by the original manufacturer.


4.1 Manufacturer’s Warranty

All warranties relating to the quality, durability, and performance of the Products are those provided by the original manufacturer. Customers should refer to the specific manufacturer’s warranty for information regarding product guarantees.


4.2 Custom-Tinted and Special Order Products

Products that are custom-tinted or specially manufactured to the Buyer’s specifications are non-refundable and non-returnable, except in the case of proven defect or damage upon delivery (see Section 2). The Company accepts no responsibility for variations in shade or finish that may occur during the tinting process, as this is inherent to the nature of the product. While every effort is made to ensure colour consistency, the Company cannot guarantee that different batches or repeat orders will match exactly.

 

4.4 Liability Disclaimer

The Company accepts no liability for:

 

  • Incorrect application or misuse of the Products after delivery.

  • Any damage or defects resulting from incorrect storage or handling after delivery.

  • The suitability of the Products for any specific purpose beyond the manufacturer’s stated guidelines.

 

4.5 Technical Advice and Specifications

The Company may provide technical advice and recommendations on application methods and product specifications. However, the final decision and responsibility for choosing the correct product and ensuring its suitability for the intended purpose rests solely with the Buyer.

 

5. Patents, Trademarks & Health & Safety

 

No representation, warranty, or indemnity is given by the Company that the goods do not infringe upon any Letters Patent, Trademark, Registered Design, or other industrial rights. In accordance with the Health & Safety at Work Act 1974, the supplied by the Company products' labels provide necessary information, as required by the Statutory Regulations for the labelling of Paint, Ink and other ancillary products, outlining known hazards and key product properties. However, many Products may pose risks if not handled and applied with appropriate care and caution. The Company’s resources are available upon request to provide safety information required for compliance with the Health & Safety at Work Act 1974. is the Buyer’s responsibility, upon delivery, to ensure the safe and proper storage of the goods and to adhere to all relevant statutory or regulatory requirements concerning their handling, use, and disposal. 

 


 

6. Liability for Accidents & Damage

 

The Company” including its employees, agents, and representatives, shall not be liable to the Buyer for any loss, injury, damage, or claims—whether direct, indirect, consequential, or incidental—arising from or connected to the execution of this contract or the use of any goods supplied by the Company, except where such loss, injury, damage, or claims are caused directly by the negligence of the Company or its employees.

 


 

7. Governing Law

 

This Agreement shall be governed by and construed in accordance with the laws of England and Wales. The Buyer irrevocably submits to the exclusive jurisdiction of the English Courts for all matters and disputes arising out of or in connection with this Agreement.

 


 

8. Assignment

 

This Contract is personal to the Buyer and may not be assigned or transferred, whether in whole or in part, without the prior written consent of the Company.

 


 

9. Payment

 

All payments must be completed in full before the dispatch of goods. Your payment method is only charged when we issue an Order Confirmation. This secures your order and allows us to begin processing it for dispatch.

If you notice any errors in your Order Confirmation, please contact us as soon as possible to make the necessary amendments.

 



10. Cancellation of Goods

 

Orders for Products may not be cancelled or suspended without the Company’s prior written consent. If a cancellation or suspension is requested and agreed upon, the Buyer shall indemnify the Company for any loss or costs incurred, whether in full or in part, as a result of the cancellation or suspension. Cancellations of orders for non-stock lines, including custom-tinted paints, will not be accepted once the paint has commenced manufacture.

 


 

11. Return of Goods

 

All paint items are custom-tinted and therefore non-returnable unless proven to be faulty or damaged upon delivery. For goods damaged during transport, the Buyer must notify the Company within 48 hours of receipt. For goods identified as faulty, notification must be provided within 3 working days. Any Goods returned without prior written consent from the Company will remain at the Buyer’s risk, and the Company accepts no liability for such items. For the avoidance of doubt, the Company does not accept returns on any custom-tinted paint products under any circumstances, except where damage or fault is demonstrated as per the conditions stated above.

Please note: Due to the structure of metal paint tins, whites and tinted paints will not be deemed as damaged, should there be dents/indentations to the product caused by transportation.
